1. Acceptance
By using propefi.com, joining the early access list, or using the Propefi platform (the "Service"), you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service. You must be at least 18 years old and able to form a binding contract. If you accept on behalf of an entity, you represent that you have authority to bind it.
2. Pre-launch status and early access
Propefi is in development. Joining the early access list places you on a notification list; it does not create an account, guarantee availability in your area, guarantee a launch date, or entitle you to any specific feature, pricing, or priority. Features described on this site are planned and may change, be delayed, or be discontinued. Any pre-release version of the Service is provided for evaluation and may contain errors.
3. Free for homeowners
Propefi's homeowner tier — creating a property record, storing documents, receiving reminders, and transferring your record to a new owner — is provided at no charge to homeowners. We may introduce optional paid features, and we charge real estate professionals, service providers, and warranty partners for their tools. We will give notice before making any currently free homeowner feature paid, and you will never be charged without your express consent. Any future paid subscription will disclose price, billing period, renewal terms, and cancellation method before you pay, consistent with California's automatic renewal law (Business & Professions Code § 17600 et seq.).
4. Your account and security
You are responsible for the accuracy of your registration information, for maintaining the confidentiality of your credentials, and for all activity under your account. Notify us promptly at support@propefi.com of any unauthorized use.
5. Your content and your records
You retain ownership of the documents, photos, invoices, and information you submit ("Your Content"). You grant Propefi a worldwide, non-exclusive, royalty-free license to host, store, reproduce, process, and display Your Content solely to operate and improve the Service, to generate the reports and reminders you request, and to make records available to recipients you authorize. This license ends when you delete Your Content, except for commercially reasonable backup retention and where law requires retention.
You represent that you have the right to submit Your Content, that it does not infringe anyone's rights, and that any address or property you document is one you own, occupy, or are authorized to manage. You are responsible for the accuracy of what you upload.
Record transfer. A property record is tied to a property address and may be transferred to a subsequent owner. When you initiate a transfer, you authorize us to make the transferred record available to the recipient. Do not upload information you would not want a future owner of the property to see.
6. Acceptable use
- Do not upload unlawful, infringing, defamatory, or malicious content.
- Do not submit records for a property you have no ownership, occupancy, or management relationship with.
- Do not misrepresent, falsify, or backdate service history, invoices, or warranty documents.
- Do not scrape, reverse engineer, resell, or attempt to access another user's records.
- Do not interfere with, overload, or probe the security of the Service.
- Do not use the Service to violate fair housing, lending, insurance, or real estate disclosure laws.
We may suspend or terminate access for violations, and we may remove content that violates these Terms.
7. No professional advice; no disclosure substitute
Propefi provides information tools only. Nothing in the Service is real estate, legal, tax, appraisal, engineering, insurance, or investment advice. Propefi is not a substitute for a professional home inspection, appraisal, title search, or any seller-disclosure obligation imposed by California law (including the Real Estate Transfer Disclosure Statement and Natural Hazard Disclosure requirements). You remain solely responsible for your legal disclosure obligations in any transaction.
Estimates of value, maintenance needs, warranty status, and savings are predictions generated from the data available to us. They may be inaccurate or incomplete and are not guarantees. Records are only as complete and accurate as what users upload.
8. Third parties and marketplace
The Service may surface contractors, service providers, warranty companies, insurers, or other third parties, and may include affiliate or referral relationships from which we earn compensation. Propefi does not perform home services, does not warrant third-party work, and is not a party to any agreement between you and a third party. Verify licensing, insurance, and bonding yourself; California contractors can be verified with the Contractors State License Board.
9. Our intellectual property
The Service, including software, design, and the Propefi, Propefacts, and Propefix marks, is owned by X7 LLC and protected by intellectual property laws. We grant you a limited, revocable, non-transferable license to use the Service for its intended purpose. All rights not expressly granted are reserved.
10. Copyright complaints (DMCA)
Send notices of claimed infringement to legal@propefi.com with the information required by 17 U.S.C. § 512(c)(3). We will respond to valid notices and may remove content or terminate repeat infringers.
11. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT DATA WILL NOT BE LOST. Some jurisdictions, including California, do not allow certain exclusions, so some of these may not apply to you.
12. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROPEFI AND X7 LLC WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST PROPERTY VALUE, LOST DATA, OR LOST BUSINESS OPPORTUNITY. OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) AMOUNTS YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS ($100). Nothing in these Terms limits liability for gross negligence, fraud, willful misconduct, or any liability that cannot be limited under California law.
You waive California Civil Code § 1542, which reads: "A general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in his or her favor at the time of executing the release and that, if known by him or her, would have materially affected his or her settlement with the debtor or released party."
13. Dispute resolution, arbitration, and class action waiver
Informal resolution first. Before filing a claim, contact us at legal@propefi.com with a description of the dispute. We will try in good faith to resolve it within 60 days.
Binding arbitration. If we cannot resolve it, you and Propefi agree that any dispute arising out of or relating to these Terms or the Service will be resolved by individual binding arbitration administered by JAMS or the American Arbitration Association under their consumer rules, in the county where you reside or another mutually agreed location, in accordance with the Federal Arbitration Act. The arbitrator may award any relief available in court on an individual basis.
Class action waiver. Claims must be brought individually. You and Propefi waive any right to a jury trial and to participate in a class, collective, consolidated, or representative action. This waiver does not apply to claims for public injunctive relief, which may be pursued in court as permitted by California law (McGill v. Citibank), and does not waive any non-waivable representative claim.
Exceptions. Either party may bring an individual claim in small claims court or seek injunctive relief for intellectual property misuse.
Opt out. You may reject this arbitration agreement by emailing legal@propefi.com with your name and "Arbitration Opt Out" within 30 days of first accepting these Terms. Opting out does not affect any other provision.
14. Governing law and venue
These Terms are governed by the laws of the State of California, without regard to conflict of law rules. Subject to Section 13, the exclusive venue for any dispute not subject to arbitration is the state or federal courts located in Los Angeles County, California, and you consent to their jurisdiction. Nothing here deprives you of protections under the laws of your state of residence that cannot be waived.
15. California consumer notice (Civil Code § 1789.3)
California residents may reach the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs in writing at 1625 North Market Blvd., Suite N 112, Sacramento, CA 95834, or by telephone at (800) 952-5210 or (916) 445-1254. Our contact information and the price of the Service (free to homeowners) are stated in these Terms.
16. Privacy
Our collection and use of personal information is described in our Privacy Policy, which includes our California Notice at Collection and your CCPA/CPRA rights.
17. Termination
You may stop using the Service or ask us to delete your account or list entry at any time. We may suspend or terminate access if you violate these Terms, if required by law, or if we discontinue the Service. Upon termination, Sections 5 (as to license survival for backups), 9, 11, 12, 13, 14, and 18 survive. We will provide a reasonable opportunity to export your records before deletion where practicable.
18. Changes, notices, and miscellaneous
We may update these Terms; material changes will be posted here with a new "Last updated" date and, for registered users and subscribers, sent by email at least 14 days before taking effect. Continued use after the effective date constitutes acceptance. If any provision is held unenforceable, the rest remains in effect. These Terms are the entire agreement between us. We may assign these Terms in connection with a merger, acquisition, or sale of assets. Our failure to enforce a provision is not a waiver. We are not liable for delays caused by events beyond our reasonable control. Notices to us go to legal@propefi.com; notices to you go to the email address on file.
